Terms of use
Memberfy's terms of use for members and for people who run a community - acceptance, platform rules, responsibilities, account, conduct, payments, data, suspension and changes.
Last updated: November 2, 2026.
Who we are
Memberfy is operated by LUMA VENTURES LTDA - ME, CNPJ 21.951.820/0001-39 (Brazil), and by Memberfy, Inc., a subsidiary incorporated as a Delaware C Corporation (United States), Delaware file number 10796969, incorporated on October 7, 2026. In these terms, "Memberfy" means these companies and the platform they operate.
Definitions
- Memberfy: the platform and the companies listed under Who we are.
- Community: the space a person or company creates and runs inside Memberfy, with its own members, content, plans and products. Each community is responsible for what it offers and charges. See Community.
- Owner: the person who creates the community and answers for it to Memberfy.
- Team: the admin, moderator and finance roles, appointed by the owner.
- Member: someone who takes part in a community.
- Account: a person's own registration, which can take part in several communities.
- Content: posts, courses, events, files and messages that are published.
Acceptance
By signing up for or using Memberfy, as a member or as someone who runs a community, you agree to these terms and to the policies linked to them, such as the Invitation and member import policy. If you do not agree, do not use the platform.
A private environment with its own rules
Memberfy is a private platform and sets its own rules of use. See Our environment, our rules.
What the community is responsible for
The owner answers for the community to Memberfy, and the team acts on the owner's behalf. The community is responsible for:
- the content published by the team and, through moderation, by members;
- invitations and imports, which require each person's consent. See the Invitation policy;
- the charges it makes to its members: what it sells, for how much and what it delivers.
Account and security
- Provide accurate information and keep it up to date.
- Keep your password safe; what is done with your account is your responsibility.
- An account belongs to one person only: do not share it.
- Minimum age. To have an account you must be at least 16, or the higher minimum age the community sets (up to 99). Whoever buys something paid declares being 18 or older, or authorized by their legal guardian. A community that declares it serves minors is responsible for collecting the consent of parents or guardians. Memberfy records the confirmation and the declaration, without verifying the age with a document. When Memberfy learns of an account belonging to someone under the minimum age, the account is deleted. See Minimum age.
Prohibited conduct
You may not use Memberfy to:
- send spam or messages people did not ask for;
- collect data automatically (bots, scraping, extraction);
- publish or distribute illegal content;
- run scams, fraud or phishing, or impersonate another person or company.
Payments
- The community sets the prices of what it sells.
- Memberfy charges the platform fee on sales.
- Refunds follow the community's policy and Memberfy's. See Refunds and disputes.
Personal data
Memberfy keeps personal data to operate the service, in line with Brazil's General Data Protection Law (LGPD). Data subject requests (access, correction and others) go to [email protected]; reports go to [email protected]. Two things you do yourself, in My Account › Privacy, in each community:
- Download your data: a ZIP file with what the community keeps about you, which only you download, by signing in with your account. The file is available for 72 hours, and a new request can be made every 24 hours. The community team's internal notes about you are not included in the file; access to them is requested from the community itself, which is the controller of that data. See Download your data.
- Delete your account: the deletion happens on a set date (30 days after the request, or the end of the period already paid, whichever comes last), with time to change your mind. After it, the profile is anonymized and what you published stays without your name; financial records are kept for the period the law requires, unlinked from your name. See Delete your account.
Anyone who cannot do it alone asks the community: the owner and the admin build the export (which goes only to the person's e-mail) or carry out the deletion at their request, with the reason recorded. See Handle an erasure request.
Retention. The data of guests and of parcels already closed, in Attendance and Parcels spaces, is anonymized after each space's retention period, from 6 to 60 months (12 months by default). The team's activity log loses the before-and-after detail of changes after 2 years. See How long data is kept.
Abandoned cart. When a signed-in member opens the checkout of a paid product and does not buy, Memberfy keeps the profile's name, e-mail and phone, the product, the amount and the dates. Purpose: show the community's team who did not finish the purchase (legal basis: preliminary steps to a contract requested by the data subject, art. 7, V) and, if the community turns it on, send a single recovery e-mail, with an unsubscribe link (legal basis: legitimate interest, art. 7, IX). The cart is deleted 90 days after the abandonment, or when the person leaves the community. See Abandoned carts.
Improve with AI. When someone uses Improve with AI, the text and the instruction are sent to an AI provider, acting as a processor, only to produce the suggestion. Memberfy doesn't store the text or the instruction; it only records the use (who, in which community, in which kind of field and when).
Drops text by AI. When the author of a Drop asks for the text written by AI, the video's voice is transcribed by an AI provider, acting as a processor, only to write the suggestion. The transcript isn't kept after use: it's deleted when the Drop goes into the post or, at most, 24 hours later. Memberfy only records the use (who, in which community, how much audio and when), never the transcript or the text.
Messages. Chat conversations are private between the two people talking. The community team (owner, admins, moderators and finance) has no access to message content, through any screen, API route or AI assistant. The text does not go into e-mails, activity logs or reports. Available to chat is on by default: each person shows in People, to the other members of the community, as online while using the app, and is told so the first time they open the chat. Each person turns it off whenever they like, and whoever turns it off shows to nobody. If the community requires a connection (Add first), people who are not connected see only the name, photo, profile tagline and job title; the team sees the full profile.
Browser and phone notifications. When you turn on browser and phone notifications, delivery goes through the push service of the browser or of the device's system (Google, Apple, Mozilla or Microsoft), acting as a processor only to deliver. The content travels encrypted; the service only sees that there was a delivery, its time and its size. The message text only goes if you turn on Show the message text. Memberfy keeps only the delivery address, its keys and a device label, and deletes everything when you remove the device, log out on it, leave the community or delete your account.
Suspension and ban
Memberfy may issue warnings and suspend or ban accounts and communities, at its discretion, under the Invitation policy.
Changes to these terms
Memberfy may update these terms. The date of the last update is at the top of this page, and continuing to use the platform after a change counts as acceptance.
Applicable law
These terms are applied within the limits of applicable law.
